This Website Services Agreement describes the managed website services provided by AEMTech LLC for business customers that submit onboarding information through this website, accept an agreement link, or start service through an AEMTech-provided payment link.
Services
AEMTech provides website design, hosting, maintenance, and support for professional service businesses. Services may include website setup, page design, content placement, lead forms, hosting coordination, routine maintenance, and reasonable support.
Electronic Acceptance
By checking an agreement box, clicking an acceptance button, submitting onboarding information with agreement acceptance selected, or otherwise accepting an AEMTech agreement link, the customer agrees that the action is an electronic signature and has the same effect as a handwritten signature.
The customer agrees that AEMTech may store and rely on electronic records of acceptance, including the agreement version, customer details, timestamp, IP address, user agent, and related onboarding or payment records.
Pricing and Payment
Pricing is the amount separately agreed between the customer and AEMTech. The final recurring or one-time payment amount is confirmed through the Stripe checkout, payment, or subscription link provided by AEMTech. Fees are due in advance for the selected billing period unless otherwise agreed in writing.
AEMTech may pause or withhold service for unpaid balances. Pricing for separately agreed custom work, paid advertising, SEO campaigns, e-commerce, or other out-of-scope services may be quoted separately.
If a payment fails, is reversed, is disputed, or becomes past due, AEMTech may suspend work, pause access, remove nonessential services, or delay launch until the account is brought current. Reactivation may require payment of outstanding amounts and any separately agreed reactivation or recovery work.
Scope and Change Requests
The included service scope is limited to the managed website services, requested content, and reasonable updates described during onboarding or otherwise agreed in writing. AEMTech may prioritize work based on operational availability, customer responsiveness, technical feasibility, and third-party platform requirements.
Material changes, expanded site structure, substantial redesigns, custom software, integrations, paid advertising, SEO campaigns, e-commerce, unusual hosting requirements, or work outside the agreed scope may require separate written approval and additional pricing.
Domains
AEMTech may register, configure, or manage a customer domain on the customer's behalf when needed for the website service. Domains purchased by AEMTech for a customer are intended for that customer's business, but AEMTech may register and manage the domain through an AEMTech-controlled registrar account while services are active.
After termination, the customer may request transfer of the domain once all outstanding balances are paid and any required registrar transfer steps are completed.
If the customer cancels, stops responding, fails to start payment, reverses payment, or otherwise does not continue with service, AEMTech is not required to transfer, push, release, unlock, change DNS for, or otherwise hand off the domain unless the customer requests that handoff and pays any required transfer, registrar, administrative, recovery, renewal, or account-separation costs related to completing it.
Domain transfers may also be delayed or restricted by registrar, registry, or ICANN rules, including transfer lock periods. AEMTech is not responsible for delays caused by those third-party rules.
Customer Authorization
The customer authorizes AEMTech to take reasonable steps needed to provide the services, which may include configuring domains, DNS, hosting, analytics, lead forms, website accounts, email routing, tracking pixels, business information, and third-party service settings.
The customer is responsible for providing accurate access, approvals, account permissions, and business information when needed. Delays in customer approvals, credentials, domain access, payment setup, content, or third-party approvals may delay service.
Customer Content
The customer is responsible for the accuracy, legality, ownership, and permission to use any content, images, logos, business details, service descriptions, testimonials, claims, or other materials provided to AEMTech.
The customer grants AEMTech permission to use, edit, host, publish, reproduce, and display customer-provided content as needed to deliver the services. The customer is responsible for claims, permissions, licenses, or disputes related to customer-provided content.
Ownership and License
The customer retains ownership of customer-provided business names, logos, trademarks, photos, copy, and other materials that the customer had the right to provide. The customer also owns the business-specific lead submissions collected through its website, subject to the rights and privacy obligations of the individuals who submitted that information. AEMTech retains ownership of its pre-existing tools, templates, software, systems, processes, internal materials, reusable components, and know-how.
Unless separately agreed in writing, the customer receives a limited license to use the delivered website and related deliverables while the account remains active under a paid plan or an AEMTech-authorized trial. The managed service does not include transfer of AEMTech source code, repositories, shared platform software, hosting accounts, deployment infrastructure, or internal operating tools. AEMTech may reuse general concepts, layouts, components, code, and non-confidential know-how in other work.
Included Updates
Reasonable updates are included as part of the managed website service. Examples include updates to business hours, service text, phone numbers, photos, staff details, service areas, or similar website content.
Unlimited redesigns, custom software, paid ads, SEO campaigns, e-commerce features, third-party platform integrations, and substantial new website builds are excluded unless separately agreed in writing.
Third-Party Services
The services may rely on third-party providers such as Stripe, hosting providers, domain registrars, DNS providers, analytics tools, Google, Meta, email services, map providers, plugins, APIs, or other platforms. AEMTech is not responsible for outages, policy changes, pricing changes, account restrictions, review delays, ranking changes, deliverability issues, or other failures caused by third-party services.
No Guaranteed Results
AEMTech does not guarantee a specific number of leads, sales, calls, search rankings, advertising results, conversion rates, uptime percentage, or revenue outcome. Website and marketing performance can depend on customer market, offer, reputation, competition, budget, search engines, third-party platforms, and customer follow-up.
Privacy and Data
AEMTech may receive and process customer business information, lead submissions, contact details, analytics, and technical data to provide the services. The customer is responsible for providing legally collected information and for notifying its own customers or users when required by law.
AEMTech may use service providers to host, store, transmit, analyze, or deliver service data. AEMTech will use commercially reasonable efforts to protect service data, but no internet or third-party system can be guaranteed to be perfectly secure.
During active service, the customer may request an export of business-specific website lead submissions associated with its project. After service ends, the customer may request that export through the AEMTech Portal or in writing for 30 days. AEMTech may remove project data from active systems after that period. Backups may remain until overwritten through ordinary backup rotation, and AEMTech may retain agreement, billing, security, fraud-prevention, tax, dispute, and other records when reasonably required for legal or business obligations.
Digital Products
AEMTech may sell downloadable digital products, including PDF packages, guides, checklists, templates, prompt systems, and related self-serve business resources. Digital products are delivered through the AEMTech Portal, email links, or other AEMTech-provided download links.
Digital product purchases are for self-serve education, planning, and implementation support. They do not include done-for-you website build services, custom consulting, custom revisions, major new deliverables, or guaranteed business results unless AEMTech separately agrees to those services in writing.
Because digital products can be accessed immediately after purchase, digital product sales are final and non-refundable once access is granted, except where a refund is required by applicable law or AEMTech confirms a duplicate charge or technical fulfillment error.
Cancellation and Refunds
The customer may schedule cancellation through the AEMTech Portal, Stripe's customer portal, or a written request to AEMTech. Cancellation takes effect at the end of the current paid billing period unless AEMTech confirms a different date in writing. Service remains available through that effective date. Fees already paid for the current or completed billing period are non-refundable except where required by law.
Annual plans are non-refundable after work begins. If cancellation occurs before work begins, AEMTech may refund the annual payment less any payment processing fees or approved expenses.
AEMTech may suspend or terminate service sooner for nonpayment, chargebacks, unlawful use, security risk, material breach, or conduct that threatens AEMTech, a customer, or a third-party service. When reasonably practical, AEMTech will provide notice and an opportunity to resolve the issue.
End of Service and Handoffs
When service ends, AEMTech may disable hosting, forms, portal functionality, support, updates, and other managed-service features. The customer may request an available project lead-data export or domain handoff during the 30-day post-service handoff period. Customer-provided materials remain the customer's property, but AEMTech is not required to transfer its source code, repositories, reusable components, platform, infrastructure, vendor accounts, or internal tools.
Domain handoff remains subject to outstanding balances, registrar or registry restrictions, transfer locks, account verification, and reasonable registrar, renewal, recovery, or separation costs. The customer is responsible for supplying a valid destination registrar account and completing any required confirmation steps before the handoff period ends.
Limitation of Liability
To the maximum extent permitted by law, AEMTech is not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from the services, website availability, third-party platforms, search engine behavior, domain registrars, hosting providers, or customer-provided content.
AEMTech's total liability for claims related to the services is limited to the amount paid by the customer to AEMTech for the affected service during the three months before the event giving rise to the claim.
Disputes and Governing Law
This agreement is governed by the laws of the state where AEMTech LLC is organized or principally operates, without regard to conflict-of-law rules, unless a different governing law is required by applicable law or separately agreed in writing.
Before filing a claim, the parties agree to make a good-faith effort to resolve disputes informally by written notice. If AEMTech must pursue unpaid amounts, the customer may be responsible for reasonable collection costs, court costs, and attorney fees to the extent permitted by law.
