ELECTRONIC ACCEPTANCE. By checking the acceptance box and submitting the agreement, the signer confirms that the signer is authorized to act for the customer and intends the action to serve as an electronic signature. AEMTech may store and rely on the agreement version, immutable agreement snapshot, signer name and email, timestamp, IP address, browser information, onboarding record, and related payment records as evidence of acceptance.
SERVICES. AEMTech LLC provides managed website design, hosting, maintenance, support, content placement, lead forms, and reasonable updates as separately agreed. Material redesigns, custom software, integrations, advertising, SEO, e-commerce, and other out-of-scope work may require separate written approval and pricing.
PRICING AND PAYMENT. Pricing is separately agreed and confirmed through Stripe checkout. Fees are due in advance. AEMTech may pause or withhold service for failed, reversed, disputed, or past-due payments.
DOMAINS. AEMTech may register or manage a customer domain through an AEMTech-controlled registrar while service is active. The customer may request a handoff during the 30-day period after service ends, subject to paid balances, reasonable registrar, renewal, recovery, or separation costs, verification, and registrar, registry, ICANN, or transfer-lock rules.
CUSTOMER CONTENT. The customer is responsible for the accuracy, legality, ownership, permissions, and claims associated with supplied content, logos, photos, testimonials, and business information. The customer authorizes AEMTech to use, edit, host, reproduce, publish, and display those materials and to configure domains, DNS, hosting, analytics, lead forms, email routing, and related settings to provide the service.
OWNERSHIP AND LICENSE. The customer retains ownership of authorized customer-provided materials and business-specific website lead submissions, subject to the rights and privacy obligations of the people who submitted them. AEMTech retains ownership of its tools, templates, software, systems, processes, reusable components, internal materials, and know-how. The customer receives a limited license to use the delivered website while active under a paid plan or authorized trial. The service does not transfer AEMTech source code, repositories, platform software, hosting or vendor accounts, deployment infrastructure, or internal tools.
THIRD PARTIES AND RESULTS. The service may depend on third-party hosting, domain, DNS, analytics, payment, email, search, social, API, and other providers. AEMTech is not responsible for third-party outages, restrictions, policy or pricing changes, review delays, ranking changes, or deliverability failures. AEMTech does not guarantee leads, sales, calls, rankings, conversion rates, uptime percentages, or revenue outcomes.
DATA AND EXPORTS. AEMTech may process business information, contact details, lead submissions, analytics, billing status, support requests, and technical data to provide the service. During active service and for 30 days after service ends, the customer may request an export of business-specific website lead submissions. AEMTech may remove project data from active systems afterward. Backups may remain until ordinary rotation, and AEMTech may retain agreement, billing, tax, security, fraud-prevention, dispute, and legally required records.
CANCELLATION AND END OF SERVICE. The customer may schedule cancellation through the AEMTech Portal, Stripe customer portal, or in writing. Cancellation takes effect at the end of the current paid billing period unless AEMTech confirms another date in writing. Service remains available through that date. Paid fees are non-refundable except where required by law; annual plans are non-refundable after work begins. AEMTech may suspend or end service sooner for nonpayment, chargebacks, unlawful use, security risk, or material breach. When service ends, AEMTech may disable hosting, forms, portal functionality, support, updates, and other managed-service features. Available lead-data exports and domain handoffs must be requested during the 30-day post-service handoff period.
LIABILITY AND DISPUTES. To the maximum extent permitted by law, AEMTech is not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. Total liability is limited to the amount paid for the affected service during the three months before the event giving rise to the claim. The agreement is governed by the laws of the state where AEMTech LLC is organized or principally operates unless applicable law or a separate writing requires otherwise. The parties will first attempt in good faith to resolve disputes through written notice.
